Yes. The novelty of the MPSA is the possibility of having several types of organizations – commercial, academic or governmental – in a single agreement with the use of purchasing accounts. Microsoft Open License, Microsoft Open Value, and Microsoft Open Value Subscription are Microsoft volume licensing agreements for organizations with 5 to 499 users/devices who wish to license on-premises Microsoft software, cloud services, or both. The Microsoft Business & Services Agreement (MBSA) is a living document with no fixed expiration date and contains the majority of the terms and conditions that apply to all Microsoft agreements and records. Section 2 of the MBSA generally provides language regarding use, ownership, rights and restrictions. Section 3 of the MBSA describes how both parties are to deal with confidential information. Warranties, defense of third-party claims, limitation of liability and verification of compliance are also covered by the MBSA. Program-level documents include the Select Plus or MPSA agreement and the Enterprise agreement. These documents set out the rules of the authorized program. For example, under the Enterprise Agreement, the agreement describes the granting of the license, the duration of the license grant, the fact that Software Assurance is a required component of the Enterprise Agreement program, and much more.

These documents are also generally considered evergreen in duration and do not have a fixed end date. However, customers should keep in mind that Microsoft often introduces a new contract and prohibits the signing of new records for old contracts. Microsoft Cloud Agreement (MCA) is a transactional licensing agreement for commercial and government organizations that want to outsource the management of their cloud services entirely through a cloud solution provider (CSP). Microsoft`s ISV Royalty Licensing Program is designed for ISVs who are looking for a convenient way to license Microsoft products and integrate them into a unified solution. ISVs can then replicate the enterprise solution and distribute a fully licensed solution to their end users. ISV Royalty Agreements (ISVRs) have a term of three years and payment is made monthly through an authorized distributor of the ISV Royalty Licensing Program. We offer several contract options to help partners license Microsoft cloud services and on-premises software. You must be a Microsoft Licensing Solution Provider (LSP) to sell licenses and subscriptions through Microsoft Enterprise agreements and records. Enterprise contracts are designed for medium and large companies that wish to purchase licenses for online services and/or software products, as well as Software Assurance for all or a substantial part of their business. Companies can choose to purchase perpetual licenses or non-perpetual subscription agreements for a specific period of time (typically three years) as part of the enterprise subscription program. Online services can also be purchased through the Enterprise Agreement, and subscriptions are typically structured with a term of three years.

To become an Authorized License Mobility Partner, you must be a Microsoft Service Provider (SPLA) License Agreement partner and add an addendum with additional license mobility terms to your SPLA. Contact your reseller, Microsoft Partner Development Manager, or Partner Technical Strategist to obtain the addendum. *This pension does not apply to State and Education Select Plus agreements or if the MPSA is not available on July 1, 2016. For a complete list of markets where mpSA is available, see the MPSA FAQ. Get answers to frequently asked questions about the Select Plus retreat. Partners must work with authorized Microsoft distributors to sell licenses and subscriptions through Open Agreements. You must also be an AER to sell licenses through Open License for Academic and Open Value Subscription for Education Solutions. Finally, there are affiliate registration forms, company registration, or server and cloud registration. “Registrations” are the actual vehicle with which a purchase is made. These documents describe any minimum order requirements as well as definitions or terms specific to the program. An example of enterprise enrollment is the definition of a “qualified user” and a “qualified device.” These are important definitions because by signing a company registration, you agree to purchase an enterprise product (Office Professional, Windows operating system, Enterprise or Core CAL, and some O365 SKUs) for each qualified user or device in the organization.

It is important to understand this responsibility and take steps to change the language of this agreement if you have large groups of users or devices that do not participate in the Agreement for any reason. The following documents that may change monthly (and will be incorporated by reference into your contract) are the Product Terms and the Online Services Terms. These are documents that explicitly state the usage rights that Microsoft grants to a licensee for a particular Microsoft product. Note that all uses not explicitly granted are reserved for Microsoft. We`ll often have a customer express frustration by saying, “Microsoft doesn`t say I can`t do that… – but that`s not how it works. Providers do not have to describe all prohibited use cases. All they have to do is articulate the specific rights of use they provide to a licensee. Designed primarily for small and medium-sized businesses, Open Programs allows customers to purchase perpetual or subscription licenses and, at the customer`s choice, rights to future versions of software products over a period of time (two or three years, depending on the open programs used). The offering that transfers rights to future versions of certain software products during the term of the contract is called Software Assurance.

Software Assurance also provides support, tools, and training to help customers deploy and use software effectively. Open Programs has several variations to adapt to the diverse way customers buy. Under the Open License program, customers can only purchase licenses or licenses with Software Assurance. You can also renew Software Assurance after existing volume licensing agreements expire. Microsoft Online Subscription Agreement (MOSA) is a transactional license agreement for commercial, government, and academic organizations with one or more users/devices. MOSA is best suited for organizations that want to subscribe, enable, deploy, and manage cloud services through the Microsoft Online Subscription Program (MOSP) seamlessly and directly over the web. Local software and software assurance are not available through MOSA. You can view your software licenses and cloud services through an MPSA in the Microsoft Business Center. To view software licenses through another Microsoft Volume Licensing Agreement, use the Microsoft Volume Licensing Service Center (VLSC). Once your licenses and cloud services are fully covered by an MPSA, all your purchases through the MPSA can be viewed in a single tool. Contact your partner if you have any questions about your position as a General Licence Holder. Open Value Enterprise-Wide and Open Value Subscription are commitment-based agreements for commercial and government organizations that want to obtain enterprise-wide licenses over a period of one or two years.

Software Assurance is included. The Microsoft Enterprise Agreement and Microsoft Enterprise Subscription Agreement are commitment-based licensing agreements for commercial organizations that sign up with 500 or more users/devices* and government organizations with 250 or more users/devices. These agreements are best suited for organizations that want to license Microsoft software and cloud services on-premises across the enterprise over a three-year period and at the best available prices. Open Value Subscription for Education Solutions is a commitment-based Microsoft volume licensing agreement for academic organizations with five or more full-time positions or students who wish to earn an enterprise-wide license. Software Assurance is included. Designed primarily for medium and large enterprises, the Select Plus program allows customers to purchase perpetual licenses and, at the customer`s choice, Software Assurance over a period of time (typically three years or less). Similar to open programs, customers with select Plus can only purchase licenses, purchase licenses with Software Assurance, or renew Software Assurance after existing volume licensing agreements have expired. Online services can also be purchased through the Select Plus program, and subscriptions are usually structured with terms ranging from one to three years. Open License is a transaction agreement for commercial, governmental, academic, and non-profit organizations. Software Assurance is optional.

Microsoft Products and Services Agreement (MPSA) is a transactional license agreement for commercial, government, and academic organizations with 250 or more users/devices. MPSA is best suited for organizations that want to obtain on-premises licenses of Microsoft software, cloud services, or both as needed, with no enterprise-wide commitment and with multi-year subscription options under a single, non-expiring agreement. .
